Terms of Service & EULA

The Black Knight DSS software platform is operated as a designated, protected series under Black Knight Transportation LLC pursuant to the Texas Business Organizations Code. Each series of the LLC maintains separate rights, obligations, and liability boundaries. Your subscription and any associated billing relationship is with the Black Knight DSS series specifically, operating under the corporate umbrella of Black Knight Transportation LLC.

By clicking "I agree," registering for a trial tier, or accessing any part of the service, you acknowledge that you have read, understood, and agree to be bound by these Terms and the EULA. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

The platform is offered on a subscription basis across Starter, Pro, and Enterprise tiers. Paid subscriptions may include a free trial period. Unless cancelled before the trial ends, your subscription will convert to a paid, recurring plan billed to your payment method on file through our payment processor, Stripe.

Subscriptions renew automatically until cancelled. You may cancel or manage your plan at any time through the in-app billing portal. Fees are stated exclusive of applicable taxes.

Subject to your compliance with these Terms and payment of applicable fees, Black Knight DSS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal freight dispatch and brokerage operations, up to the number of user seats permitted by your plan tier.

You may not: (a) resell, sublicense, or commercially exploit the platform except as expressly permitted; (b) reverse engineer or attempt to derive source code; (c) circumvent tenant isolation, usage limits, or security controls; or (d) use the platform to violate any law or third-party right.

The platform enforces strict organization-level data isolation. Certain integrations (including Twilio SMS and DocuSign e-signature) operate on a Bring-Your-Own-Key ("BYOK") basis. When you supply your own third-party credentials, you are solely responsible for the associated third-party accounts, usage charges, and compliance obligations. Black Knight DSS adds no markup and acts only as a pass-through facilitator.

You retain all right, title, and interest in the data you upload, including carrier, load, broker, and financial records ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the service. We do not sell your Customer Data.

You agree not to use the platform to transmit unlawful, fraudulent, or abusive content; to send unsolicited communications in violation of the TCPA, CAN-SPAM, or similar laws; or to interfere with the integrity or performance of the service. Automated outreach features must be used in compliance with all applicable telecommunications and consent regulations.

The platform integrates with third-party services including Stripe (payments), Twilio (SMS), DocuSign (e-signature), the FMCSA SAFER data system, and email delivery providers. Your use of those services is subject to their respective terms. We are not responsible for the availability or acts of third-party providers.

The platform is provided "as is" and "as available." To the maximum extent permitted by law, Black Knight DSS and Black Knight Transportation LLC disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. FMCSA and carrier vetting data are provided for informational purposes and do not constitute a guarantee of carrier compliance.

To the maximum extent permitted by law, the aggregate liability of Black Knight DSS and Black Knight Transportation LLC arising out of or relating to the service shall not exceed the amounts paid by you in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages. The separate liability shield afforded to the Black Knight DSS series under Texas law shall apply.

You may terminate your subscription at any time. We may suspend or terminate access for breach of these Terms, non-payment, or unlawful use. Upon termination, your license ends and access to Customer Data may be disabled after a reasonable retrieval window.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Exclusive venue for disputes shall lie in the state and federal courts located in Texas.

We may update these Terms from time to time. Material changes will be communicated through the platform or by email. Continued use after changes become effective constitutes acceptance.
